Welcome to emble! emble is a web application that allows Users to plan and run events. You’ve stumbled onto our Terms and Conditions, which you’re agreeing to stick to by using the site. Violation of any of the terms below will result in the suspension and possible termination of your account, and you agree to use emble entirely at your own risk. Happy reading!

1. Acceptance of terms

1.1 The following terms and conditions of service (‘TOS’) govern all use by you as User or visitor of the emble web app, website, and associated domains (collectively, the ‘Service’). The term ‘emble’ or ‘us’ or ‘we’ refers to the owner of the website whose registered office is 13 Greaves Cottages, Stockton Road, Southam, Warwickshire, CV47 8LD. Our company registration number is 08595143 and we’re a private limited company registered in the UK. The term ‘you’ or ‘User’ refers to the User or viewer of our website. Our Service is offered subject to your acceptance without modification of all of the terms and conditions detailed in this document. If you continue to browse and use this website, you are agreeing to comply with and be bound by the following terms and conditions of use, which together with our privacy policy govern emble’s relationship with you in relation to this website. If you disagree with any part of these terms and conditions, please do not use our website.

1.2 We reserves the right to change or replace any of the terms or conditions of this TOS at any time without notifying you, though we’ll make every effort to keep you up to date with anything major. By continuing to use our Service following any changes to this TOS, you are agreeing to accept those changes. If any change to this TOS is not acceptable to you, you must cease using the emble Service.

1.3 If we translate this TOS, our Privacy Policy or any other policy documents into other languages for your convenience, and there are conflicts between the translated version and the English language, the English language version will overrule.

2. What emble does

2.1 Description of service
emble enables you to plan and run events collaboratively. Key features include: a dedicated planning stage for organisers to vote on ideas, and the ability to collect money from guests.

2.2 Terminology
‘Plan’ – the stage of the Service where Users can suggest and vote on dates and activities
‘Run’ – the stage of the Service where Users are invited to attend an event
‘Admin’ – the creator of a event
‘Organisers’ – Users invited to vote during the Plan stage
‘Guests’ – Users invited to attend an event during the Run stage

3. General conditions of use

3.1 By using the Service, you are agreeing that this is at your own risk. We provide the Service on an “as is” and “as available” basis.

3.2 We aim to provide support to all Users who seek it, but we cannot take responsibility for issues that arise as a result of support not being provided to each and every User.

3.3 You accept that emble uses third party vendors and hosting partners in order to be able to provide the Service.

3.4 You must not hack, modify or adapt the Service in any way.

3.5 You must not modify another website’s code, Content or design to falsely imply that it is associated with emble.

3.6 We reserve the right to suspend or terminate accounts that we determine to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violate any party’s intellectual property or these TOS.

3.7 All forms of abuse against emble staff members or representatives will be taken very seriously, and will result in the immediate termination of the offending account upon discovery.

3.8 You understand that the technical processing and transmission of the Service, including User Content, may be transferred unencrypted and involve (a) transmissions over various networks; and, (b) changes to conform and adapt to technical requirements of connecting networks or devices.

3.9 Should your bandwidth usage significantly exceed that of the average Users, we reserve the right to suspend your account or throttle your file hosting until you can reduce your bandwidth.

3.10 emble does not guarantee that:
i. The Service will be uninterrupted, timely, secure, or free from error
ii. The Service will meet your specific requirements
iii. All Content will be accurate and free from error
iv. Any errors in the service will be corrected

3.11 Whilst we hope emble will create better events, we cannot take any responsibility for any aspects of events organised using the Service. We simply provide the platform for organisation as per these TOS, and cannot be held liable for any modifications or cancellations to any event. The responsibility for providing accurate and up-to-date event information lies solely with the Admin.

3.12 Any controversy or claim relating to this TOS or the provision of the Services shall be exclusively settled by binding arbitration in accordance with the laws of the United Kingdom. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the United Kingdom, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

3.13 You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or this TOS must be filed within two (2) years after such claim or cause of action arose or be forever barred.

3.14 You agree not to reproduce, duplicate, copy, sell, trade, resell, or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

4. Registration conditions

4.1 You must be 13 years or older to use the Service, and 18 years or older to use the aspects of the service that involve the transmission of money, i.e. sending money as a Guest, or collecting money as an Admin.

4.2 All registered Users of the site agree to provide true, accurate, current and complete information about themselves via the site’s registration form, and maintain this to ensure accuracy. We do not accept automated methods of registration, and all Users must provide their full legal name and a valid email address in order to complete the signup process.

4.3 All registered Users are responsible for maintaining the confidentiality of their password and account. emble cannot accept responsibility for security breaches which occur as a result of a User giving another person access to their account, either on purpose or through negligence. You agree to immediately notify of emble if there is any unauthorised use of your account. In the event of a dispute over account ownership between two parties, you agree that emble will be the sole arbiter of such dispute, and our decision is final and binding. We do not condone the sharing of accounts, and cannot accept responsibility for disputes that arise as a result of this practice.

5. Cancellation and termination

5.1 You reserve the right to cancel your account at any time. We will only accept cancellation via our Service and not by telephone, email or written communication. To cancel your account, visit your Account settings and follow the link to delete your account. This process is non-reversible and permanent, and we cannot recover deleted information.

5.2 We reserve the right to suspend or terminate your account at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account.

6. Modification

emble reserves the right to temporarily or permanently modify or discontinue any or all parts of the Service at any time without notice. We also reserve the right to adjust our fee structure with 30 days notice, which will be communicated via the emble website. emble are not liable to you or any third party for any modification or discontinuation of the Service.

7. Content

7.1 You agree that all Content posted to the Service is your responsibility, and this must comply with UK copyright law. You are the owner of all Content you provide to the Service, but by uploading these to a public Run event, you agree that others are allowed to view and share this Content. In addition to this, any and all Content posted to public Run events is allowed to be used by emble in promotional materials. All Content posted to private Run events will not be used in this manner. Your Content remains your intellectual property at all times.

7.2 Though we do not take responsibility for Content posted by Users, we reserve the right to immediately remove any and all Content we deem to be inappropriate or offensive, and we may also suspend or remove your account. Specifically, Content uploaded to or transmitted via the Service must not promote, transmit, engage in or display any of the following:
i) Illegal activities, including the violation of copyright laws.
ii) Malicious products (e.g. viruses, malware, malicious or destructive code).
iii) Hate speech, including Content that promotes hatred or violence towards groups or individuals based on race, ethnic origin, religion, disability, gender, age, sexual orientation or gender identity.
iv) The personal/confidential information of someone without their permission.
v) Child exploitation or abuse.
vi) Sexually explicit material.
vii) Harassment or bullying.
viii) Violence.
ix) Impersonation, identity theft or fraud.

7.3 You may not use the Service to run competitions, contests or sweepstakes without our express written permission. Users found to be in breach of this clause may be banned from the Service.

7.4 We are the owners of any and all Content on the Service that has not been posted by Users. This Content must not be duplicated without our express written permission, and we reserve the right to seek legal action against anyone found to be in breach of this clause. This extends to the look and feel of the emble brand and Service.

8. Member conduct

8.1 In using the Service and complying with these TOS, you understand that all materials present in the Service, whether publicly posted or privately transmitted, are the sole responsibility and intellectual property of the person from whom the materials originated. You must therefore take responsibility for ensuring that materials you upload or transmit using the Service do not breach clause 7.2 of these TOS. We do not condone inappropriate or offensive Content, but you understand that by using the Service, you may be exposed to such Content. We are not liable in any way for any Content including, but not limited to, errors or omissions in any Content, or loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted, or otherwise made available via the Service.

8.2 You agree not to use the Service to:

  1. Harm minors or adults
  2. Impersonate anyone
  3. Misrepresent your affiliation with another person, company or entity
  4. Forge Content
  5. Pass the Content of others off as your own
  6. Post/transmit Content you do not have the right to post/transmit
  7. Interfere with or disrupt the Service or our servers or networks
  8. Stalk or harass another User

8.3 Basically, be excellent to one another.

9. Payment

9.1 emble uses a third party payment gateway called MangoPay to process all payments from Guests and payments to Admins. By agreeing to the emble terms and conditions, you are also agreeing to the MangoPay terms and conditions, which can be found here.

9.2 The fee that emble charges for Guests to send money to an Admin can be increased or decreased with 30 days notice, which will be communicated via the emble website.

9.3 We cannot be held responsible or liable for any errors in event pricing. As creators of events, Admins set the price and are responsible for ensuring this is correct. We will not get involved in any disputes regarding overpayment or underpayment; such disputes must be settled between Guests and Admins, and emble will not arbitrate.

9.4 emble cannot be held responsible for any delays that occur following transfer of collected money to an Admins nominated bank account. We will initiate the transfer of funds upon expiration of the RSVP date. The Admin is solely for the RSVP date, and it is their responsibility to ensure they allow enough time as they should require for funds to clear in their bank account.

9.5 The responsibility for providing and maintaining accurate payment card and bank account details lies with the User. We will not be held liable for any delays or disputes as a result of the provision of inaccurate or outdated information.

9.6 Any refunds must be requested in advance of the RSVP date in order for emble to action these. Refunds requested following the RSVP date must be settled between Admin and Guest, and the Service makes no provision for this.

10. Limitation of liability

10.1 You expressly understand and agree that emble and our subsidiaries, affiliates, officers, employees, agents, partners, and licensers shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages), resulting from: (i) the use of or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorised access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any other matter relating to the service.

11. Admonitions for international use

11.1 The internet is global in nature, so in using emble you are agreeing to comply with all local rules regarding online conduct and acceptable Content. You specifically agree to comply with all applicable laws regarding the transmission of data exported from the United Kingdom or in the country in which you are using the Service.

12. Indemnity

12.1 By using the Service, you agree to indemnify and hold emble and our subsidiaries, affiliates, employees, partners, licensers, and anyone else connected with us in a professional capacity harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of Content you submit, post, transmit or otherwise make available through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another.

13. Links

13.1 emble, associated parties, or other Users may provide links to other websites or resources. We have no control over such external links, so you agree that we are not responsible for the availability and Content of these sites and resources. We cannot be held liable for any damage or loss caused by use of websites and resources linked to from the emble website.

14. Our proprietary rights

14.1 You acknowledge and agree that the Service and any necessary software used in connection with the Service (“Software”) contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You also agree that information presented to you through the Service or by partners is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws. Unless express written permission is provided from emble, you agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Service or the Software, in whole or in part.

15. Privacy

15.1 All information provided by you or collected by emble in connection with the Services is governed by our Privacy Policy, a copy of which is located at https://emble.io/blog/privacy-policy/, which is included by reference into this TOS. We strongly recomend that you review the Privacy Policy closely. Any information submitted or provided by you to the Services may be publicly accessible. You should take care to protect private information or information that is important to you. We cannot be held responsible for protecting any such information, and emble is not liable for the protection of privacy of email or other information transferred through the Internet or any other network that you may use. Please be aware that if you decide to disclose personally identifiable information on the Services, this information may become public. emble does not control and cannot be held responsible for the actions of you or any other User of the Services.
